CONSULTING SERVICES TO BUILD

Terms of Service |
Capital Health
Solutions, Inc. (hereinafter
“Contractor” or “Capital”) provides
products and services to Clients as
Client advises from time to time that it
desires to utilize. It is the obligation
of Capital to provide said products and
services.
The obligations of
Client are: A. To participate as
requested in consulting activities. This
includes calling meetings, providing
meeting sites and amenities, and
providing information requested by
Capital. Client's participation shall
include individuals sufficient to act on
behalf of Client. B. To pay
Contractor at an hourly rate, as agreed
or set forth in a proposal (subject to
future rate changes of which Contractor
shall advise Client in writing), except
where a flat price per task has been
quoted, plus expenses. Such expenses
typically include printing costs, web
hosting and advertising fees, and any
copying and mailing services, outside of
normal communication with Client.
Payment for fixed fee work will be due
for each stage at its commencement.
Payment for hourly rate work will be due
within 10 days of billing. All unpaid
balances shall bear interest at the rate
of 18% per annum. C. The compensation
described in the preceding section
covers Capital Health Solutions’
services only. All direct expenses for
this project other than Capital Health
Solutions’ labor will be billed directly
by the vendor to Client or billed as
reimbursables. If billed for
reimbursement, an administrative fee of
20% will be added to each expense. D.
Work may be completed, and paid for, in
stages. Payment for fixed fee work will
be due for each stage at its
commencement in accordance with a
payment plan that we will establish so
that you will be able to increase your
revenue without being unduly hampered by
current cash flow issues. Payment for
hourly rate work will be due within 10
days of billing. On request, a “budget
payment” plan can be established that
will set a fixed schedule of payments
that will allow Client to order services
based solely on need rather than cash
flow concerns. Non-Competition It
is understood by both parties that
Contractor is a business organization
which may, from time to time, either
offer or advise companies who offer,
services that may overlap or compete
with those of Client. At no time will
Client’s business information be used,
nor shared in a away in which it may be
used, to compete with Client.
Additionally, an account executive will
be responsible for the service
hereunder. Said account executive shall
not, during the life of this project,
engage in a direct solicitation, either
publicly or to third parties, of any
service which directly competes with
Client in any the Client’s service area.
Confidential Information
Contractor will not at any time, either
during its services to Client or
thereafter, divulge, furnish or make
available, either directly or
indirectly, to any person, firm,
corporation or other entity any
confidential information used by Client.
“Confidential information” means all
data, materials or other information
which Client designates in writing to be
of a confidential or proprietary nature,
or which Contractor has reason to
believe should be treated as such,
including but not limited to client
contractual matters and information;
technical drawings, designs, concepts;
software programs; routines, formulae,
and concepts; production plans, designs,
layouts and schedules; marketing
analyses, plans, customer data and
surveys; curricula; all matters related
to Client‘s finances and personnel; and
all deliverables and any matter or
information covered by HIPAA. (Excepted
are documents or information intended
for public release or use).
Collection In the event that Client
fails to pay any sum when due, Capital
may take action to collect what is owed.
If so, Capital shall be entitled to
recover from the non-prevailing party
all reasonable costs incurred including
staff time, court costs, attorneys fees,
and all other related expenses incurred
during the course of collection. It is
understood that the work by Capital will
be performed in Alexandria, Virginia,
notwithstanding that some portion of the
work may include meetings held
elsewhere, and that in the event of any
litigation, proper venue will be in
Alexandria, Virginia. Controlling Costs
Our mission as an organization is to
provide results that drive revenue at a
cost small businesses can afford.
Inescapably, however, what we are
ultimately selling is the time of our
professionals - and inefficient use of
our time forces us to either lose money
or raise rates. Neither is a desirable
result. In order to work most
effectively for you, we need to work
together to avoid waste. Here are
some tips to avoid waste: • If you
need something from us, don’t make us
play guessing games - just let us know
what it is. The best way to do that is
via an e-mail that tells us succinctly
what you need and attaches or forwards
any relevant information. • If you
need to have a phone conversation, this
is still a time based task that we need
to fit into our work schedule, meaning
that the moment you call may not be one
that we can drop another project top
pick up yours. Expect to have to leave a
message. When you do, let us know what
you need to discuss so we can prepare
and allocate adequate time. One message
will do. Having to react to multiple
messages on the same matter usually
consumes the time we would otherwise
have spent talking with you. Simple
“call me” messages are typically not
returned because they lack enough
information for us to respond
professionally. • Respect boundaries.
Call on us at the office during business
hours. That is when and where we do our
work. Trying to grab our attention “on
the fly” at networking or social events
or calling us at home or on cell phones
may provide you with some instant
gratification but it is inconsiderate of
the professional working with you, and
reduces the quality of the work because
you are providing key information when
you do not have our full attention. We
try to limit our work to the work day,
stay home when we are sick and take a
vacation from time to time. Those things
help us focus and do a better job for
you. • Stay on point. Whether in
person or on the phone, we allocate time
for meetings that is appropriate to the
task at hand. If we can’t stay on
subject, we can’t get to what you need
in that allocated time. If, for example,
you teach us that a “short” phone call
with you takes at least an hour and a
half, we can’t return your calls until
we have that kind of time to spare. •
You don’t need to market to us. Don’t
waste your meeting time perpetually
delivering your sales pitch to us. If we
didn’t understand the value of what you
do, we would not have agreed to take on
your project.
